What happens if I miss my lease audit window?
Missing the lease audit window typically forfeits your right to dispute that year's charges under the lease. However, it may not extinguish your rights under state law — depending on your state's SOL and whether the discovery rule applies, you may still have a claim. Consult a commercial real estate attorney if the amounts are significant.
What is the discovery rule?
In some states, the statute of limitations does not start running until you discover — or reasonably should have discovered — the overcharge. This is particularly relevant for tenants who have never audited their CAM. States with robust discovery rule application in commercial lease disputes include Massachusetts, New Mexico, and Alaska.
Does paying a reconciliation statement waive my audit rights?
Generally no, unless your lease includes a specific waiver clause triggered by payment. To be safe, send a written reservation of rights alongside any payment you make while a dispute is pending or a review is underway.
